Terms of Service

(1) Acceptance of the Terms of Service

These Terms of Service are entered into by and between You and Hope for a Cure for ALZ, Inc. (“ALZ” or the “Company”). The following terms and conditions (“Terms of Service”) govern your access to and use of ALZ’s Website, including any content, functionality and services offered on or through it (the “Website”). Please read the Terms of Service carefully before you start to use the Website. The Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company.

If you do not want to agree to these Terms of Service, you must not access or use the Website. BY USING THE WEBSITE, YOU ACCEPT AND EXPRESSLY AGREE THAT YOU ARE BOUND BY AND WILL ABIDE BY THE TERMS OF SERVICE.

(2) Privacy Policy

All information collected via the Website (including information about you, your visits to the Website and your internet activity) is subject to our Privacy Policy. By using the Website, you expressly consent to all actions taken with respect to your information in accordance with the Privacy Policy, which is hereby incorporated into and made part of these Terms of Service.

(3) Entire Agreement

The Terms of Service and Privacy Policy together constitute the sole and entire agreement between you and us with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, whether oral or written, with respect to the Website and the subject matter thereof.

(4) Changes to the Terms of Service

We may, in our sole discretion, revise and update the Terms of Service from time to time. All changes shall be effective immediately when posted and shall apply to all access to and use of the Website thereafter; provided however that any changes to the dispute resolution provisions set forth in Section 17 below will not retroactively apply to disputes about which both parties had actual notice before the date the changes were posted. Your continued use of the Website following the posting of revised Terms of Service constitutes your acceptance of and agreement to the revisions. You are responsible for checking this page from time to time so you are aware of any changes because they are binding on you.

(5) Intellectual Property Rights

The Company’s name, logo, domain, and all related names, logos and product and service names, designs and slogans are trademarks of the Company or its affiliates or licensors, as applicable. You must not use such marks without the prior written permission of the Company. All other names, logos and product and service names, designs and slogans on the Website are the trademarks of their respective owners.

The Website and all its contents, features and functionality (including but not limited to all information, software, text, displays, images, video, audio and the design, selection and arrangement thereof) are owned by the Company, its licensors, or other providers of such material (as indicated) and are protected by Ohio, United States and international copyright, trademark, patent, trade secret and other intellectual property and proprietary rights laws. The Terms of Service permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on the Website, except as follows:

  • your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing them;
  • you may store files that are automatically cached by your web browser for display enhancement purposes;
  • you may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use but not for further reproduction, publication or distribution; and
  • if we provide social media features with certain content, you may take such actions as are enabled by such features.

You are not permitted to, and you agree, represent and warrant that you will not, do any of the following:

  • modify copies of any materials from the Website;
  • use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text;
  • delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from the Website; or
  • access or use for any commercial purpose any part of the Website or any services or materials available through the Website.

If you wish to use material on the Website in any manner or for any purpose other than as expressly permitted by these Terms of Service, you must send a written request to hope4alz@gmail.com. Unless and until we, in our sole discretion, approve your request in a writing that we send to you, your access to and use of the Website and any Website materials shall continue to be limited to the permitted uses expressly allowed in these Terms of Service.

(6) Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Service, and you expressly agree, represent and warrant that you will not access or use the Website:

  • in any way that violates any applicable federal, state, local or international laws or regulations (including laws regarding the export of data or software to and from the United States and/or other countries);
  • for the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise;
  • to transmit or procure the transmission of any advertising or promotional material, including any “junk mail” or “chain letter” or “spam” or any other similar solicitation.
  • to impersonate or attempt to impersonate (i) the Company, (ii) its directors, officers, employees or representative, (iii) any other user, or (iv) any other person or entity (including without limitation by using e-mail addresses associated with any of the foregoing);
  • to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us in our sole discretion, may harm the Company or users of the Website, or expose them to liability;
  • use the Website in any manner that could disable, overburden, damage or impair the site or interfere with anyone else’s use of the Website, including their ability to engage in real time activities through the Website;
  • use any robot, spider or other automatic device, process or means to access the Website for any purpose, including monitoring or copying any of the material on the Website;
  • use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent;
  • use any device, software or routine that interferes with the proper working of the Website;
  • introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful;
  • attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer or database connected to the Website;
  • attack the Website via a denial-of-service attack or a distributed denial-of-service attack; and/or
  • otherwise interfere with or attempt to interfere with the proper working of the Website.

(7) Website Access

No right, title or interest in or to the Website or any of its contents or functionality is transferred to you; and all rights not expressly granted herein are reserved to ALZ. Any use of the Website that is not expressly permitted herein shall constitute a breach of these Terms of Service and may violate copyright, trademark and other laws and may expose you to legal liability.

If you print, copy, modify, download, otherwise use or provide any other person with access to the Website in a manner or for a purpose that breaches any provisions in these Terms of Service, your right to use the Website shall immediately cease and, at our request, you shall promptly return or destroy any copies of all Website material that you have made or is in your possession, custody or control.

ALZ reserves the right to terminate or suspend your access to all or any part of the Website for any reason or no reason, in its sole discretion, including for any violation of the Terms of Service. You are solely responsible for making all arrangements necessary for your device to access to the Website and ensuring that all persons who access the Website through your internet connection are aware of these Terms of Service and comply with them.

We reserve the right to withdraw or amend the Website and any service or material we provide on the Website, and we may restrict a user’s access to all or some of the Website, in our sole discretion and without notice. We will not be liable if, for any reason, all or any part of the Website is ever unavailable or inaccessible.

(8) Changes to the Website

We may update content on the Website from time to time. However, Website content may not necessarily be complete or up-to-date; and at any given time, Website material may be out of date, and we are under no obligation to update it.

(9) No Medical or Scientific Advice, Representations, or Guarantees

Content on the Website may address Alzheimer’s disease, dementia, caregiving, research, prevention, treatment developments, clinical studies, health-related topics and other medical or scientific subjects. All content on or available through the Website is made available for general informational, educational and charitable purposes only. We do not represent, warrant or guarantee its accuracy, completeness or usefulness. Any reliance you place on such information is strictly at your own risk; and we disclaim any and all responsibility for and liability arising out of any reliance placed on such material by you or any other visitor to the Website, or by anyone who may be informed of such material.

The Website does not provide medical advice, diagnosis, treatment recommendations, clinical guidance or professional health-care services. Nothing on the Website should be used as a substitute for consultation with a qualified physician, neurologist, pharmacist, psychologist, therapist, licensed health-care professional or other healthcare professional regarding any medical condition, medication, treatment decision, caregiving decision, research participation decision, emergency or health issue or concern. No physician-patient relationship between us is created by your use of the Website. Please consult a qualified healthcare professional if you have any questions about Alzheimer’s disease or any other subject matter addressed on or available through the Website, and do not disregard or delay seeking professional medical advice because of anything you have accessed on or through the Website. If you believe you may be experiencing a medical emergency, contact emergency services immediately.

ALZ’s mission is to help find a treatment, prevention and cure for genetically caused Alzheimer’s disease. Scientific and medical research is inherently uncertain, and progress depends on myriad factors outside our control, including independent research findings, funding availability, regulatory review, clinical-trial outcomes, peer review, institutional approvals, public-health developments and the work of unaffiliated researchers, institutions, sponsors and agencies. Statements regarding research goals, strategies, programs, collaborations, grants, studies, potential therapies, prevention approaches, diagnostic tools or future developments are aspirational and informational only. ALZ cannot and does not represent or guarantee that any research, grant, campaign, collaboration, program or donation will produce a treatment, prevention, cure or any other specific outcome.

(10) Linking to the Website; Social Media Features

You may link to our homepage, provided that you do so in a way that is fair and legal and does not damage the Website or our reputation, or take advantage of it, but you must not establish a link in such a way that suggests any form of association, approval or endorsement on our part without the express written consent of our authorized representative.

The Website may provide certain social media features that enable you to (among other things): link from your own or certain third-party websites to certain content on this Website; send e-mails or other communications with certain content, or links to certain content, on this Website; and/or cause limited portions of content on this Website to be displayed or appear to be displayed on your own or certain third-party websites. You may use these features solely as they are provided by us and solely with respect to the content with which they are displayed; but in no event are you authorized or permitted to do any of the following:

  • establish a link from any website that is not owned by you;
  • cause the Website or any portion of it to be displayed or appear to be displayed on any other site by, for example, framing, deep linking, or in-line linking;
  • link to any part of the Website other than the homepage;
  • take any other action with respect to the materials on this Website that is inconsistent with any other provision of these Terms of Service; and/or
  • link to a site or content that does not strictly comply with these Terms of Service.

You expressly agree to cooperate with us in causing any unauthorized framing or linking immediately to cease. We expressly reserve the right to, in our sole discretion and without notice, withdraw linking permission and/or disable any and all links and social media features.

If the Website contains links to third-party websites or resources (including, for example, banner advertisements and sponsored links), those links are provided for convenience purposes only. We have no control over the contents of those sites or resources, and we accept no responsibility for them and disclaim all liability for any loss or damage that may arise from your use of them. If you decide to access a linked third-party website or resource, you do so entirely at your own risk and subject to their applicable terms and conditions.

(12) Donations

ALZ is a tax-exempt organization as described in Section 501(c)(3) of the Internal Revenue Code. Donations to ALZ are tax deductible as charitable contributions to the extent permitted by law. ALZ will provide a written acknowledgment of a donation in an amount for which documentation is required to claim a deduction under applicable law. ALZ does not provide tax advice; please consult your tax advisor regarding your ability to deduct any donation to ALZ.

The Website contains links to third-party payment platforms through which you may make your donation. All donations are processed by third-party providers, and your use of a particular platform is governed by the applicable provider’s terms of service and privacy and other policies. We does not collect, store or process payment card or account information; all payment information is provided by you directly to the third-party payment provider you choose. We do not control and are not responsible for any acts, omissions, security practices or privacy practices of any third-party payment provider, including any unauthorized access to or acquisition of information you submit to such provider. We encourage you to review the provider's terms and policies before submitting any payment information.

By electing to make a recurring donation, you are authorizing the selected third-party payment provider to charge your selected payment method on the recurring schedule you choose until you affirmatively cancel such payments. You may cancel future recurring donations at any time through the third-party payment provider or by contacting us at hope4alz@gmail.com. Cancellation will not affect already-processed donations.

All donations are voluntary; and they are nonrefundable, except in the case of a processing error. If you believe a donation was made as the result of a processing error, please contact us at hope4alz@gmail.com.

(13) Geographic Restrictions

ALZ, the owner of the Website, is based in the State of Ohio in the United States of America. It provides this Website for use only by persons located within the United States. ALZ makes no claims that the Website or any of its content is accessible or properly accessed outside of the United States. Access to the Website by certain persons, or by persons located in certain countries, may not be legal. If you access the Website from outside the United States, you do so on your own initiative, and you are solely responsible for compliance with all laws applicable in that jurisdiction.

(14) Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Website will be free of viruses or other destructive code. You are solely responsible for implementing sufficient procedures and checkpoints to satisfy your particular security needs for anti-virus protection, for accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. (16) Indemnification

You agree to defend, indemnify and hold harmless the Company, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service, including but not limited to any use of the Website or its content other than as expressly authorized in these Terms of Service.

(17) Governing Law; Jurisdiction; Venue

All matters relating to the Website and these Terms of Service, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Ohio without giving effect to any choice or conflict of law provision or rule (whether of the State of Ohio or any other jurisdiction). Any lawsuit, legal action or other legal proceeding arising out of or related to the Website or these Terms of Service shall be instituted exclusively in the federal or state courts sitting in Cuyahoga County, Ohio; provided however we retain the right to bring any lawsuit, legal action or other legal proceeding against you for breach of these Terms of Service in your country of residence or any other relevant country. You expressly consent to, and you waive any and all objections to, the exercise of jurisdiction over you by such courts and to venue of an action in such courts.

(18) Limitation on Time to Initiate Legal Action

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS OF SERVICE SHALL BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM SHALL BE PERMANENTLY BARRED.

(19) Assignment; No Third-Party Beneficiaries

The Company may assign these Terms of Service without restriction. These Terms of Service do not and are not intended to confer any rights or remedies upon any person other than you and the Company. You are not permitted to assign these Terms of Service or any of your rights or obligations in connection with them without the prior written consent of the Company’s authorized representative, and any attempted assignment in violation of the foregoing shall be null and void.

(21) No Oral Waiver; Severability

No waiver by the Company of any term or condition set forth herein, shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision. If any provision in these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be eliminated or limited to the minimum extent possible and all remaining provisions shall continue in full force and effect. These Terms of Service cannot be amended or waived except in writing by an authorized representative of the Company.
